VegaWallet and our sponsoring company TS&H, LLC ('TS&H') provides its content to you subject to the following Terms and Conditions (the "Terms and Conditions"). The Terms and Conditions govern your use of this application, and by accessing, viewing, or using the material on the mobile application ('Application'), you indicate that you understand and intend these Terms and Conditions to be the legal equivalent of a signed, written contract, and equally binding, and that you accept such Terms and Conditions and agree to be legally bound by them. If you do not agree with the Terms and Conditions, you are not granted permission to use the Application and should exit the Application immediately.

1. Proprietary Rights.
All material contained in this application is protected by law, including but not limited to, United States copyright law. Except as indicated, the entire content (including images, text and look and feel attributes) of this Application are copyrighted by VegaWallet, with all rights reserved. Removing or altering the copyright notice in the Application in any manner is prohibited. VegaWallet also owns a copyright in this Application as a collective work and/or compilation, and in the selection, coordination, arrangement, organization and enhancement of such content. Any commercial use of this content is prohibited without the prior written consent of VegaWallet. All trademarks and logos are proprietary to VegaWallet or its sponsoring companies. Use or misuse of these trademarks is expressly prohibited and may violate federal and state trademark law. Please be advised that VegaWallet actively and aggressively enforces its intellectual property rights to the fullest extent of the law.

2. Registration of VegaWallet Accounts.
In order to use the VegaWallet platform, you will need to register for an account. During the registration process, we will ask you for information, in order to abide by all “Know Your Customer” regulations. By filling this form out you agree that all information provided is factual and up to date. We may refuse to open an account for you or deny you use of our platform. If your account is compromised VegaWallet will send you information on how to verify your identity in order to regain access. If the information provided by you does not match the account details VegaWallet will deny your request.

3. VegaWallet Services.
VegaWallet and its sponsoring companies help to provide specific and secure services for our users. Our platform allows for the exchange of cryptocurrencies and purchase with debit/credit card. Our wallet and other applications use the latest multi-signature technology and are subject to updates after ICO completion. Please be advised that the risk of loss when trading cryptocurrencies can be substantial just like any market. VegaWallet takes no responsibility for losses caused during market fluctuation or when using our exchange.

4. Platform Availability.
VegaWallet does not guarantee the uptime of our exchange or other online services. Maintenance may be required to update security protocols or fix bugs and downtime will be necessary.

5. Conversion and Exchange Services.
VegaWallet’s online platform allows users in certain jurisdictions the opportunity to buy and sell cryptocurrencies at current USD market value using credit/debit cards. Users will also be allowed to exchange one digital currency for another using our platform. As a user you agree that prices may not be exactly the same due to momentary market fluctuation. Prices paid can not be changed after transaction verification and all transactions entered onto public blockchain ledgers can not be returned or altered in anyway. If a transaction fails the verification process users will be notified and given the chance to fix any wrong information. VegaWallet does use a third party payment processor when dealing with all card based payments, the service provider or availability of this service is subject to change without notice.

6. VegaWallet User Asset Control.
VegaWallet does not control or have use of any assets placed in VegaWallet storage wallets. Multi-Signature technology along with implanted cold storage give users multiple proven ways to secure their funds. Wallet assets are full liability of the user and VegaWallet does not take responsibility for any loss caused by third party interactions or wrongful account behavior.

7. The VegaWallet Token.
The VegaWallet “VGW” token is not a digital security, commodity, or any other kind of financial instrument and has not been registered under the securities law of the United States or any other country. VGW tokens cannot be used for any purpose other than those specified by VegaWallet in our white paper and User Agreement. VGW tokens give no rights in the VegaWallet Company and are sold as a functional utility for our platform. By using the VGW token users agree the VGW tokens are not securities and shall not be considered such. VGW tokens are not official or legally binding investments in any right. VegaWallet will use a portion of marketing resources and development funds to ensure the VGW token is traded on multiple exchanges (as well as our own) in order to produce token demand. However, the trading value of VGW tokens will depend on the general consensus of token value. VegaWallet makes no promises on increased token value beyond our initial coin offering phases. Once you receive your VGW you are free to transfer or exchange it for any other cryptocurrency on our exchange. VGW tokens will be easily transferable through our system in person or internationally and will be subject to the advanced security measures available for our systems to ensure your assets remain safe. The main purpose of the VGW token is for use in reduced fee transactions on our exchange. The VGW token will also be used in future VegaWallet projects.

8. Communications Through Our Application.
VegaWallet welcomes your feedback and suggestions about how to improve our products and services and this Application. By transmitting any suggestions, information, material, or other content (collectively, "Content") to VegaWallet, you automatically grant VegaWallet the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, redistribute, transmit, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any rights that may exist in such Content. Further, you hereby authorize VegaWallet to use any ideas, concepts, know-how, techniques, and suggestions contained in any communications you send through the Application for any purpose whatever, including but not limited to creating and marketing products and/or services using such information.

9. No Intention of Trade Advice.
This Application is designed to provide VegaWallet members who have logged into the application access to our cryptocurrency exchange and other services. At no time does VegaWallet take responsibility for any trades or exchanges made. Any information gathered from third party sources is not the thought or intention of VegaWallet our or sponsoring companies. VegaWallet, as a company, has no opinion on particular market value of cryptocurrencies and will never engage in insider trading activities.

10. No Legal Advice.
Nothing contained, expressed, or implied in this Application is intended as, nor shall be construed or understood as, legal advice, guidance, or interpretation. No attorney-client relationship is established between VegaWallet and you by reason of your use of this application, under any circumstances whatever. If you have questions about any law, statute, regulation, or requirement expressly or implicitly referenced in this Application, you should contact your own legal counsel.

11. Regional Access to VegaWallet.
VegaWallet will not block any specific region from accessing our platform, however it is the responsibility of the user to understand laws pertaining to cryptocurrencies and ICO’s in their specific region. VegaWallet assumes no responsibility for use of our platform against local regulations. Users must take full responsibility of any misuse.

12. Confidentiality Cannot be Guaranteed.
Although VegaWallet takes security and privacy seriously, please be advised that the confidentiality of any communication or material transmitted to VegaWallet via this application, through our website or via Internet electronic mail cannot be guaranteed.

13. Disclaimer of Warranty and Liability.
USE OF THIS APPLICATION IS ENTIRELY AT YOUR OWN RISK. NEITHER VEGAWALLET NOR ITS AFFILIATES ARE RESPONSIBLE FOR THE CONSEQUENCES OF RELIANCE ON ANY INFORMATION CONTAINED IN OR SUBMITTED TO THE APPLICATION, AND THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU. VEGAWALLET SHALL NOT BE LIABLE FOR ANY DIRECT, SPECIAL, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOST REVENUES OR LOST PROFITS, WHICH MAY RESULT FROM THE USE OF, ACCESS TO, OR INABILITY TO USE THESE MATERIALS. UNDER NO CIRCUMSTANCES WILL THE TOTAL LIABILITY OF VEGAWALLET TO YOU EXCEED THE PRICE PAID BY YOU FOR USE OF THE APPLICATION.

14. Corrections and Changes.
While VegaWallet endeavors to keep the Application up to date, we cannot assume responsibility for any errors or omissions in the Application. VegaWallet further does not warrant the accuracy or completeness of the information, text, graphics, links or other items contained within the Application. VegaWallet may make changes to the Application, or to the products or services described herein, at any time without notice, and makes no commitment to update the information contained herein. VegaWallet, reserves the right to terminate your access to the Application in the event that you violate these Terms and Conditions, or for any reason whatsoever.

15. Indemnification.
You agree to defend, indemnify, and hold harmless VegaWallet, its affiliates and subsidiaries, and all of their respective directors, officers, employees, representatives, proprietors, partners, shareholders, servants, principals, agents, predecessors, successors, assigns, and attorneys from and against any and all claims, proceedings, damages, injuries, liabilities, losses, costs, and expenses (including attorney's fees and litigation expenses) relating to or arising from your use of the Application and any breach by you of these Terms and Conditions.

16. Suspension/Termination of Account
VegaWallet reserves the right to cancel a user account at anytime if given reasonable suspicion that the given user is engaging in illegal activity or money laundering, has broken the terms of use contract, or if VegaWallet has received a legal notice pertaining to the given user account.

17. Links to Other Websites.
This Application may, from time to time, contain links to other Internet websites for the convenience of users in locating information and services that may be of interest. These applications are maintained by organizations over which VegaWallet exercises no control, and VegaWallet expressly disclaims any responsibility for the content, the accuracy of the information and/or quality of products or services provided by or advertised on these third-party websites. VegaWallet does not control, endorse, promote, or have any affiliation with any other website unless expressly stated herein.

18. Use of the Internet.
Use of this Application is solely at your own risk and is subject to all applicable state, national and international laws and regulations. Neither VegaWallet nor its affiliates will be liable for any loss resulting from a cause over which they do not have direct control, including but not limited to failure of electronic or mechanical equipment or communication lines, telephone or other interconnect problems, computer viruses, unauthorized access, hacking attempts, theft, operator errors, severe weather, earthquakes, natural disasters, strikes or other labor problems, wars, or governmental restrictions.

19. Governing Law and Jurisdiction.
These Terms and Conditions will be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without reference to its choice of law rules. By accessing, viewing, or using the material on the Application, you consent to the jurisdiction of the federal and state courts presiding in Philadelphia, Pennsylvania, and agree to accept service of process by mail and hereby waive any and all jurisdictional and venue defenses otherwise available. This Application is controlled and operated by VegaWallet from its offices within the United States. VegaWallet makes no representation that materials in the Application are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. Those who choose to access this Application from other locations do so on their own volition and are responsible for compliance with applicable local laws.

These Terms and Conditions constitute the entire agreement between you and VegaWallet with respect to your use of the Application. You acknowledge that, in providing you access to and use of the Application, VegaWallet has relied on your agreement to be legally bound by these Terms and Conditions.
